Position Summary

This position is responsible for overseeing the Corporate Compliance Program, functioning as an independent and objective body that reviews and evaluates compliance issues and concerns within the Bank to make sure that the company is in compliance with laws and regulations. This position ensures the Board of Directors that management and employees are in compliance with the rules and regulations of regulatory agencies and that company policies and procedures are being followed. This position is also responsible for the strategic planning, organization, implementation and evaluation of the Bank’s compliance functions and develops and maintains a sound, risk-based compliance program that effectively reviews all areas of the bank.

Essential Functions Statement(s)

  • Establish and maintain a risk-based compliance program in cooperation with the Enterprise Risk Officer and Internal Auditor.
  • Monitor and report results of the compliance/ethics efforts of the Bank, and provide guidance for the Board and senior management team on matters relating to compliance.
  • Establish and communicate the strategic direction and supporting objectives of the Compliance Department, ensuring alignment with the Banks mission/vision/values and strategic objectives.
  • Build compliance as an identifiable part of the Banks culture; and promotes the development of an engaging environment of ownership at the various business lines.
  • Advise management on all compliance related issues and risks in order to develop strategies to identify opportunities and/or mitigate risks with new regulations, product, process or service modifications, and specific transactions.
  • Monitor regulatory changes and manages the implementation of new or revised regulations.
  • Compose an annual Compliance Risk Assessment of the organization and designs, implements and manages the organizations annual compliance audit and monitoring plan based upon the risk assessment. Oversees the outsourced compliance auditing function including the annual engagement for approval by Senior Management and the Board of Directors. Coordinates and scheduling, activities, and procedures.
  • Maintain and develop compliance policies as appropriate. Present compliance policies to the Board of Directors for annual approval, and communicates changes to appropriate staff.
  • Manage regulatory compliance examinations and prepares responses to the Report of Examination.
  • Prepare responses to compliance exam and compliance audit reports for review by Senior Management and the Board of Directors.
  • Coordinate with responsible parties on maintaining the internal exam/audit tracking system to assure corrective actions are in place for compliance exam and audit exceptions. Works with department managers to make improvements to systems in order to correct possible violations; ensures that responses are received. Provides periodic updates to Senior Management and the Board of Directors.
  • Research, reviews, tracks and responds to complaints and disputes filed with the Bank and State and Federal agencies concerning ethics, rules and general compliance.
  • Supervise the Banks record retention program.
  • Oversee the supplying of non-public information to regulators and hired vendors.
  • Act as Red Flags/Identity Theft Program Administrator.
  • Serve as NMLS Registry Administrator.
  • Collaborate with other departments (e.g., Risk Management, Internal Audit, Human Resources, IT, etc.) to direct compliance issues to appropriate existing channels for investigation and resolution. Consults with the Bank’s attorney as needed to resolve difficult legal compliance issues.
  • Respond to alleged violations of rules, regulations, policies, procedures, and Code of Conduct by evaluating or recommending the initiation of investigative procedures. Develops and oversee a system for uniform handling of such violations.
  • Act as independent review and evaluation body to ensure that compliance issues/concerns within the organization are being appropriately evaluated, investigated, and resolved.
  • Monitor, and as necessary, coordinates compliance activities of other departments to remain abreast of the status of all compliance activities and to identify trends.
  • Identify potential areas of compliance vulnerability and risk; develop/implement corrective action plans for resolution of problematic issues, and provides general guidance on how to avoid or deal with similar situations in the future.
  • Institute and maintain an effective compliance communication program for the organization, including promoting (a) a confidential means of communication for employee, customers, suppliers, and vendors (b) heightened awareness of the Code of Conduct, and (c) understanding of new and existing compliance issues and related policies and procedures.
  • Work with the Human Resources Department and others as appropriate to develop an effective compliance training program, including appropriate introductory training for new employees as well as ongoing training for all employees and managers.
  • Monitor the performance of the Compliance Program and relates activities on a continuing basis, taking appropriate steps to improve its effectiveness.
  • Oversees the Compliance Committee, meetings, projects and activities.

Position Qualifications

Education: Bachelor’s Degree (four year college or university), preferably in business, finance or accounting, or equivalent work experience required.

Experience: Five years or more compliance, banking or related experience
